1.Objective of the job
Legal Counsel, Americas assists with all legal aspects of the business, safeguarding our reputation by ensuring the company adheres to legal and statutory guidelines, ensuring legal conformity to minimize the risk of exposure. The Junior Legal Counsel, Americas gives sound legal advice to management regarding all relevant issues.
2.Deliverables
Provide accurate and timely counsel to address business concerns through a range of legal topics including but not limited to Acquisitions, Corporate Finance, International Ventures, Partnerships, Labour Law etc.
Structure, review and negotiate transactions and liaise with the Senior Leadership Team to provide updates and timely access to information
Collaborate with management to devise efficient defense strategies
Specify internal governance policies and regularly monitor compliance
Research and evaluate risk factors regarding business decisions and operations
Apply effective risk management techniques and offer proactive advice on possible legal issues
Communicate and negotiate with internal clients and external parties (regulators, external counsel, public authorities etc) creating a strong network of relationships in the process
Draft and finalize agreements, contracts and other legal documents to ensure the company’s full legal rights
Deal with complex matters with multiple stakeholders and present creative solutions to reach resolution, ensuring a balance between legal risk and business interests
Provide clarification on legal language or specifications to everyone in the organization
Proactively maintain current knowledge of legislation of US, BVI, Bahamian and Cayman Islands Laws.
Management and reporting
Reports to Legal Counsel, Americas
Assists Legal Counsel, Americas with all aspects of claims and incidents reporting to ensure legal risks are known and mitigated.
3.Required knowledge and experience
Required level and content of education;
Juris Doctor coupled with strong legal industry background
Minimum of 2 years’ PQE in a corporate environment
Extensive experience working within international corporate structures
In depth understanding of corporate governance, risk management, relevant local regulations and best practices
Proven track record in successfully working with and developing relationships with internal stakeholders and third parties
Strong attention to detail with experience in auditing and analysing data
