The Executive Compensation Services team is a market leading, diverse, and rapidly growing service line within Intertrust Group, providing a variety of employee incentive services to clients in a broad range of industries. The department services some of most reputable financial and non-financial services clients globally, whilst also working with entrepreneurial firms and some of the oldest and most employee focussed companies in the world.  The team also work very closely with leading global legal, accountancy and consulting firms daily, to support client plans and structures.  Headquartered in Jersey but with global reach and expertise, the Executive Compensation Team in Jersey is the global centre of excellence for Intertrust Group.

The position

We want to grow future leaders and our highly experienced department is looking to recruit ambitious and forward-thinking individuals with strong technical backgrounds in trust administration and/or compensation structures.  We are looking for individuals with experience in managing and mentoring others, who want a career that is challenging and offers an opportunity to specialise in a growing area.

A key strategic role within the Jersey Executive Compensation Services management team. This role provides the opportunity to specialise in incentives, providing legal support to a growing service line, with global reach.    The role offers significant scope for professional growth and an extremely varied and high-profile workload for the right candidate.

Your responsibilities

  • Providing reliable first line legal review and guidance on the team’s client engagements, typically relating to employee benefit trust (EBT) arrangements governed by England & Wales law or Jersey law but also other special purpose vehicles (companies and partnerships) used to support executive compensation plans
    • Examples of documents frequently requiring review in relation to EBTs include:
      • EBT and occasionally other trust deeds, plan/scheme rules, loan agreements, share supply agreements, operating agreements, deeds of appointment (and / or retirement / termination)
    • In relation to corporate actions affecting our structures:
      • sale & purchase agreements, shareholder’s agreements, underwriting agreements, nominee agreements
    • Operational legal support:
      • administration agreements, NDAs, T&Cs and other contractual agreements we may need to consider from time to time
  • Liaising with clients, their professional advisors and team members throughout the life cycle of their plans and trusts to help ensure service delivery around legal matters is optimised, managing risk whilst also maximising commercial recoverability
  • Assisting the management team with commercial, regulatory or technical projects arising, contributing to management team and service line meetings and communications
  • Act as a liaison point with Intertrust Groups local and global legal team, as required when representing the service line
  • Maintaining and developing further an understanding of the executive compensation markets and services we work in with a view to building profile and supporting business development activities (examples may include assisting with new pitches, attending industry events, providing thought leadership content, hosting events)
  • Assisting with service line strategic projects in new markets, contributing to the management team skills set and expertise with appropriate legal analysis where appropriate
  • Potential future roles as director on in-house or client related companies and trusts

Your profile
 

  • A UK qualified lawyer working, ideally working within a large, multi-practice law firm, with significant experience of dealing with trusts and corporate or plan related transactions impacting those trusts
  • Comfortable also working with a range of other legal documents to support corporate, commercial activities
  • Preferably specialist experience of executive compensation matters, coming from an employment, incentives or pensions team
  • Ability to interpret and comment on various legal documents which may be governed by the laws of England & Wales, Jersey, Scotland or indeed any other common law origination
  • Excellent interpersonal and client handling skills
  • Excellent written and verbal analysis
  • A commercial mindset and desire to help grow a service line’s financial and reputational success, evidenced by prior business growth initiatives
  • A desire to embark on a wide-ranging new role, joining a growing, market-leading incentives team during a period of material global growth
